(A) Nesbitt Web Ltd (company number 09417982), trading as AffordableMTD, has developed software and services to facilitate the submission of electronic tax data to HMRC under Making Tax Digital for Income Tax Self Assessment (MTD ITSA).

(B) The Customer wishes to use the Software and the Service.

(C) Nesbitt Web Ltd has agreed to provide, and the Customer has agreed to use and pay for, the Service subject to these Terms.


Interpretation

The following definitions apply throughout these Terms:

AffordableMTD / we / us / ourNesbitt Web Ltd, company number 09417982, registered in England and Wales.
Customer / youThe individual who registers for and uses the Service.
Business DayAny day other than a Saturday, Sunday, or public holiday in England and Wales.
Customer DataAll data inputted by you when using the Service, including financial records and data submitted to HMRC.
Effective DateThe date on which you first accept these Terms and create an account.
HMRCHM Revenue and Customs.
ServiceThe AffordableMTD web application and associated features made available via affordablemtd.com, including MTD ITSA submission functionality.
SoftwareThe online software application provided as part of the Service.
SubscriptionThe annual subscription purchased by you in accordance with these Terms, which renews automatically at the end of each Subscription Period unless cancelled in accordance with clause 8.2.
Subscription FeesThe fees payable for access to the Service, currently £19.99 per year (no VAT is currently added; see clause 5.1), as displayed during the payment process and subject to change in accordance with clause 5.3.
Subscription PeriodThe first twelve-month billing period, commencing at the end of the Free Period (or, for Customers who sign up after the Free Period has ended, commencing on the Effective Date), and each subsequent twelve-month period following renewal, unless terminated earlier in accordance with these Terms.
Free PeriodThe introductory period during which new Customers may use the Service without charge, ending on 6 April 2027.

Subscriptions and Access

  1. 2.1From the Effective Date, Nesbitt Web Ltd grants you a non-exclusive, non-transferable licence to use the Service for your own personal tax filing purposes, subject to payment of the Subscription Fees once they fall due at the end of the Free Period (or, if you sign up after the Free Period, from the Effective Date).
  2. 2.2The Service is intended for individual use only. You may not share your account with others or use the Service to file on behalf of third parties unless this is expressly permitted in a separate written agreement.
  3. 2.3You must keep your login credentials confidential and notify us promptly at support@affordablemtd.com if you become aware of any unauthorised use.
  4. 2.4You must not:
    • copy, modify, reverse engineer, or create derivative works from the Software;
    • use the Service to build a competing product or service;
    • resell, sublicence, or otherwise provide access to the Service to any third party;
    • introduce any malicious code, virus, or disruptive material into the Service or our systems.
  5. 2.5We reserve the right to suspend or terminate your account if we reasonably believe you are in breach of this clause 2.

The Service

  1. 3.1We will use commercially reasonable endeavours to make the Service available 24 hours a day, seven days a week. We may need to take the Service offline for maintenance and will try to give you advance notice where possible.
  2. 3.2Customer support is provided by email at support@affordablemtd.com. We aim to respond within two Business Days (see clause 1). We do not provide telephone support.
  3. 3.3The Service is made available to UK-based subscribers only.
  4. 3.4The Service is HMRC-recognised bridging software for Making Tax Digital for Income Tax. It enables you to submit periodic updates and annual summaries to HMRC. You remain responsible for creating and maintaining the underlying digital records from which those summaries are derived.
  5. 3.5We may update or modify the Service from time to time. We will notify you of material changes by email or via the Service.
  6. 3.6Any guidance provided through our support channels, including email, in-app chat, or help centre content, is general product guidance only. It does not constitute tax, legal, or financial advice, and does not create an advisory, professional, or fiduciary relationship between you and Nesbitt Web Ltd. For advice specific to your circumstances, you should consult a qualified, regulated accountant or tax adviser.

Your Responsibilities

  1. 4.1You are solely responsible for the accuracy, completeness, and correct categorisation of all Customer Data you enter into the Service and submit to HMRC, including but not limited to correctly identifying and apportioning residential and non-residential finance costs, private-use adjustments, and brought-forward amounts. The Software relies entirely on the data you supply and does not verify it against your bank statements, accounting records, or other source documents.
  2. 4.2You are solely responsible for meeting your tax filing deadlines. We are not responsible for any late submissions, penalties, or fines arising from your use or non-use of the Service.
  3. 4.3AffordableMTD is software, not a firm of accountants or tax advisers. Neither the Software nor any content, guidance, help articles, or support communications provided as part of the Service constitute tax, legal, or financial advice, and none of it should be construed or relied upon as such. If you are unsure of your tax position, you should consult a qualified, regulated accountant or tax adviser.
  4. 4.4The Service acts as bridging software for submitting data to HMRC. It does not replace your legal obligation to create and maintain underlying digital records of your individual transactions as required by law. You are responsible for maintaining your own records and backups of your Customer Data. We strongly recommend you export copies of your submission records regularly.
  5. 4.5We do not guarantee any specific tax outcome, relief, deduction, allowance, refund, or reduction in your tax liability. All calculations of tax owed or relief due are performed by HMRC's own systems based on the data you submit. Our role is limited to formatting your Customer Data as required by HMRC and transmitting it via the HMRC API; we do not independently assess, verify, or optimise your tax position.
  6. 4.6If you believe a submission is incorrect because of a defect in the Software itself, contact us at support@affordablemtd.com and we will investigate and, where appropriate, assist you in correcting it. Where an error arises because you entered data incorrectly, incompletely, or in the wrong category, correcting that error and notifying HMRC (including via any amendment functionality in the Service) is your responsibility. In all cases, you remain responsible for reviewing the figures shown to you before confirming and submitting them to HMRC.
  7. 4.7Some features of the Service use artificial intelligence to suggest categorisations of your transactions. These AI-generated suggestions are provided as a convenience only, are not verified against your bank statements, invoices, or other source documents, and do not constitute tax, legal, or financial advice. You must review and, where necessary, correct every AI-suggested categorisation before it is submitted to HMRC. We give no warranty as to the accuracy of AI-generated suggestions, and you remain solely responsible for the accuracy of all data submitted. To provide this feature, relevant transaction data is processed by a third-party AI provider, as described in our Privacy Policy.

Fees and Payment

  1. 5.1You will pay the Subscription Fees shown during checkout. All fees are in pounds sterling. The Subscription Fee is currently £19.99 per year. We are not currently registered for VAT, so no VAT is added to this price. If we become VAT-registered, VAT will be added and clearly stated at checkout and in your renewal reminder before it is charged.
  2. 5.2At signup we take your payment card details but will not charge you during the Free Period, which ends on 6 April 2027. Your subscription automatically renews annually and your card will be charged the Subscription Fee at the end of the Free Period, and at the start of each subsequent Subscription Period, unless you cancel before the renewal date in accordance with clause 8.2. We will send you a reminder email before the first charge at the end of the Free Period and before each subsequent renewal.
  3. 5.3We reserve the right to change our pricing. Any price changes will be communicated to you at least 14 days before your next renewal.
  4. 5.4Subscription Fees are non-refundable except as set out in clause 8 (Termination) or as required by applicable consumer law.
  5. 5.5If your subscription payment fails or is not paid when due, we may suspend your access to the Service. If payment remains outstanding for three months after the due date, we may delete your account and associated data, having first given you at least 14 days' written notice by email of our intention to do so.
  6. 5.6You can view your upcoming renewal date and manage or cancel your payment method at any time via your account billing portal.

Data and Privacy

  1. 6.1Your use of the Service is subject to our Privacy Policy, which forms part of these Terms.
  2. 6.2You own all Customer Data. You grant us a limited licence to store, process, and transmit your Customer Data to the extent necessary to provide the Service, including to submit data to HMRC on your behalf.
  3. 6.3We will not sell your personal data to third parties. We may share data with sub-processors (such as our hosting provider and payment processor) strictly as needed to operate the Service.
  4. 6.4We will comply with applicable UK data protection law, including the UK GDPR and the Data Protection Act 2018.
  5. 6.5You authorise us to transmit data to HMRC on your behalf using the authorisation you grant through HMRC's OAuth process. We do not act as your tax agent, and no agency or fiduciary relationship arises between us as a result of this arrangement or otherwise under these Terms (see clause 3.6). You may revoke this authorisation at any time through your HMRC Business Tax Account.

Intellectual Property

  1. 7.1All intellectual property rights in the Service and Software are owned by Nesbitt Web Ltd or its licensors. These Terms do not transfer any such rights to you.
  2. 7.2You retain all ownership of your Customer Data.

Term and Termination

  1. 8.1These Terms apply from the Effective Date (i.e. from when you first accept them and create an account, including throughout the Free Period) until the end of your Subscription Period, unless terminated earlier.
  2. 8.2You may cancel your subscription at any time via your account billing portal, or by contacting us at support@affordablemtd.com. Cancellation takes effect at the end of your current Subscription Period, and your subscription will not renew or be charged again. No refund will be given for any unused portion of the Subscription Period, except as required by law. If you cancel during the Free Period, your access ends at the end of the Free Period and no charge is taken.
  3. 8.3We may terminate or suspend your access immediately and without notice if:
    • you materially breach these Terms and (if capable of remedy) fail to remedy the breach within 14 days of written notice; or
    • you engage in conduct we reasonably consider harmful to the Service, other users, or HMRC systems.
  4. 8.4On termination or expiry:
    • your licence to use the Service ends immediately;
    • you should export any Customer Data you require before your access ends, as we may delete it 12 months after termination or expiry;
    • any provisions that by their nature should survive termination will do so, including clauses 4, 6, 7, 8, 9, 10, 11, and 15.
  5. 8.5Your right to cancel within 14 days. You have the right to cancel this contract within 14 days of creating your account, without giving any reason. To exercise this right, tell us clearly by email at support@affordablemtd.com, or cancel via your account billing portal. You may use the model cancellation form below, but you do not have to. To meet the deadline, it is enough to send your communication before the 14-day period expires. If you cancel, we will reimburse any payments received from you without undue delay, and no later than 14 days after we are informed of your decision. You may ask us to begin providing the Service during the 14-day period; if you then cancel, you will pay an amount proportionate to what has been provided up to that point. During the Free Period no fees are payable, so no charge will arise.

Confidentiality

Each party agrees to keep the other party's confidential information secure and not to disclose it to third parties, except as necessary to use or provide the Service, or as required by law.


Limitation of Liability

  1. 10.1Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
  2. 10.2Subject to clause 10.1, we shall not be liable for:
    • any indirect, consequential, or special losses;
    • loss of profits, revenue, or anticipated savings;
    • tax penalties, fines, interest charges, or additional tax assessed by HMRC arising from inaccurate, incomplete, or incorrectly categorised data supplied by you;
    • any loss arising from HMRC system downtime or errors outside our control;
    • loss or corruption of Customer Data caused by you or by third parties not acting on our behalf.
  3. 10.3Our total aggregate liability to you under or in connection with these Terms shall not exceed the greater of (a) £500, and (b) 100% of the Subscription Fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
  4. 10.4You acknowledge that the Service is a tool to assist with MTD ITSA submissions and that you remain solely responsible for your tax compliance obligations at all times.
  5. 10.5The Service is provided "as is" and "as available". Except as expressly stated in these Terms, we give no warranty that the Service will be uninterrupted, error-free, or free of defects.
10.6 The Service does not provide tax advice. You remain responsible for the accuracy of all information submitted to HMRC.

Indemnity

You agree to indemnify and hold harmless Nesbitt Web Ltd, its directors, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service in breach of these Terms or applicable law.

This indemnity extends, without limitation, to any claims, penalties, assessments, or losses (including those imposed by HMRC) arising from your own inaccurate, incomplete, or fraudulent Customer Data or submissions.


Force Majeure

Neither party will be liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including acts of God, government action, HMRC system outages, or internet infrastructure failures. If such a situation continues for more than 30 days, either party may terminate the affected subscription on 14 days' written notice.

If HMRC withdraws its recognition of the Software, or if changes to Making Tax Digital rules mean we can no longer lawfully or practicably provide the Service, we may terminate these Terms on reasonable notice. In that event we will refund any Subscription Fees you have paid on a pro-rata basis for the unused portion of your Subscription Period.


Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not accept the changes, you may cancel your subscription before they take effect.


General

  1. 14.1These Terms constitute the entire agreement between us relating to the Service and supersede all prior agreements and understandings.
  2. 14.2If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  3. 14.3A failure to exercise any right under these Terms does not constitute a waiver of that right.
  4. 14.4You may not assign your rights under these Terms without our prior written consent. We may assign, novate, or transfer our rights and obligations under these Terms, including in connection with a sale of our business or its assets.
  5. 14.5Notices to us should be sent to support@affordablemtd.com. Notices to you will be sent to the email address registered on your account.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them shall be governed by the law of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales, save that if you are a consumer resident in Scotland or Northern Ireland, nothing in this clause deprives you of the protection of any mandatory provisions of the law of, or your right to bring proceedings in, your place of residence.
